Terms of Service

These Terms of Service ("Terms") govern your access to and use of Moonwalk, a personal AI agent platform operated by Monorail Inc. ("Moonwalk," "we," "us," or "our"). By creating an account or using Moonwalk, you agree to these Terms. If you don't agree, please don't use Moonwalk.

1. What Moonwalk is

Moonwalk gives you personal AI agents that have their own memory, skills, and conversations and that work on your behalf. We're always improving the service, so we may add, change, or remove features at any time.

2. Who can use Moonwalk

You must be at least 14 years old to use Moonwalk. If you're under the age of majority where you live, you confirm that a parent or legal guardian agrees to these Terms on your behalf. You also confirm that the information you give us is accurate.

3. Your account

You're responsible for your account and for everything that happens under it, so keep your login details secure. Let us know at support@moonwalk.now if you think your account has been compromised.

4. Your content and your agents

You keep all rights to the content you put into Moonwalk ("Your Content"). You grant us a license to host, process, and use Your Content as needed to run and improve the service. You're responsible for Your Content and for what your agents do on your behalf — including any actions they take in services you connect to Moonwalk. Please review what your agents do, especially when they act automatically.

5. AI outputs

Moonwalk relies on AI, and AI can be wrong. Outputs may be inaccurate, incomplete, or unsuitable for your situation, and they aren't professional advice. Don't treat them as a sole source of truth — you're responsible for reviewing outputs before you act on them.

6. Connected services and AI providers

Moonwalk lets your agents connect to third-party services (such as email or calendar) at your direction, and it sends your inputs to third-party AI model providers to generate responses. Those third parties have their own terms and privacy practices, and we're not responsible for them. By connecting a service, you authorize your agents to access and act on it for you.

7. Acceptable use

Don't use Moonwalk to break the law, infringe others' rights, distribute malware, harass anyone, or generate harmful or illegal content. Don't try to disrupt, reverse engineer, or gain unauthorized access to the service, and don't use it to build a competing product. We may suspend or terminate accounts that do.

8. Plans and payment

Moonwalk is a paid service. You subscribe per agent, per month, and each agent is on its own tier. An account can hold as many agents as it pays for; they are line items on a single subscription with a single renewal date, not separate subscriptions. There is no free tier — an agent is on a paid plan from the moment it exists. Current prices are on our pricing page.

Payment is taken in advance. A charge is made at the moment the thing being paid for happens, and the period it covers is created already paid. Your subscription renews automatically each month at the then-current price until you cancel. To avoid being charged for the next month, cancel at least 24 hours before your renewal date.

Changes mid-cycle. Adding an agent or upgrading a tier takes effect immediately and is charged prorated for the days left in the current period; we show you the exact amount before you confirm. Downgrading a tier or removing an agent takes effect at your next renewal, and nothing is refunded for the rest of the month already paid for. See our Refund Policy, which forms part of these Terms.

How you pay. Purchases are made on the web; there is no in-app purchase on any platform. Payments are processed by Paddle, which acts as the merchant of record and is responsible for collecting and remitting sales tax or VAT in your jurisdiction. Unless a price is shown as tax-inclusive, taxes are added on top of it at checkout. Your billing currency is set at your first paid charge and stays the same for the life of the subscription.

Our other clients are free. The mobile app and the Telegram bot are free companions to your web subscription. They show no prices and sell nothing — an agent you already pay for is reachable through them at no extra cost, and there is no separate mobile plan.

If a payment fails. Your account goes past due and Paddle retries on its own schedule; your agents keep running in the meantime. If a renewal is never covered, the agents it would have paid for stop at the period boundary. A stopped agent is not deleted — it keeps its memory, skills, and files, and runs again when you put it back on a tier.

9. Our rights

Moonwalk — including its software, design, and brand — belongs to Monorail Inc. and its licensors. We grant you a limited, personal, non-transferable right to use it under these Terms. If you send us feedback, we may use it freely and without owing you anything.

10. Service provided "as is"

Moonwalk is provided "as is" and "as available," and parts of it may be in beta. We don't promise that it will always be available, secure, or error-free, and we may change or discontinue any part of it at any time.

11. Limitation of liability

To the fullest extent allowed by law, Monorail Inc. is not liable for any indirect, incidental, or consequential damages, or for lost data, profits, or business. Our total liability for any claim relating to Moonwalk is limited to USD 100.

12. Indemnity

You agree to cover Monorail Inc. for claims, losses, and costs arising from your use of Moonwalk, Your Content, or your breach of these Terms.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll post the updated version with a new date here, and your continued use of Moonwalk means you accept them.

14. Termination

You can stop using Moonwalk at any time. We may suspend or end your access if you break these Terms or if we stop offering the service. Provisions that should reasonably survive — such as ownership, disclaimers, liability limits, and governing law — continue after termination.

15. Governing law

These Terms are governed by the laws of the Republic of Korea, and any dispute will be handled by the courts located in Seoul.
