Terms of Service

These Terms of Service ("Terms") govern your access to and use of Moonwalk, our workspace (the "Services"), operated by Monorail Inc. ("Moonwalk," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms. If you don't agree, please don't use the Services.

1. What the Services are

Moonwalk is a workspace organized into bases. A base holds boards, tables, widgets, files, and automations, and has an AI agent beside every screen that can build and change them with you. In Moonwalk you can also run Claude Code or Codex with your own Claude or ChatGPT subscription, and connect outside AI clients, such as Claude or ChatGPT, to your bases.

We're always improving the Services, so we may add, change, or remove features at any time.

2. Who can use the Services

You must be at least 14 years old to use the Services. If you're under the age of majority where you live, you confirm that a parent or legal guardian agrees to these Terms on your behalf. You also confirm that the information you give us is accurate.

3. Your account

You're responsible for your account and for everything that happens under it, so keep your login details secure. Let us know at support@moonwalk.now if you think your account has been compromised.

4. Bases, members, and sharing in Moonwalk

A base has owners and members. Any member can see and change what the base holds and invite others. Owners also choose and pay for the base's plan, remove members, and make other members owners; a base always keeps at least one owner. Whatever you put in a base is visible to its members.

You can share a single board with a guest, or publish its link to the base's members or to the public. A public board can be read by anyone with its link, and its screen can run the automations it declares. Files in a base's Public folder can be opened by anyone with their link. You're responsible for what you share and publish.

5. Your content

You keep all rights to the content you put into the Services ("Your Content"). You grant us a license to host, process, and use Your Content as needed to run and improve the Services. You're responsible for Your Content and for what is done on your behalf — by the AI agent in Moonwalk, by automations you set up, which can run on a schedule or when a webhook calls them, and by outside AI clients you connect — including any actions taken in services you connect. Changes the agent or an outside client makes in a base are recorded as yours. Please review what they do, especially when they act automatically.

6. AI outputs

The Services rely on AI, and AI can be wrong. Outputs may be inaccurate, incomplete, or unsuitable for your situation, and they aren't professional advice. Don't treat them as a sole source of truth — you're responsible for reviewing outputs before you act on them.

7. Connected services, AI providers, and your own AI subscriptions

The Services connect to third-party services (such as email or calendar) at your direction, and send your inputs to third-party AI model providers to generate responses. Those third parties have their own terms and privacy practices, and we're not responsible for them. By connecting a service, you authorize the Services to access and act on it for you.

When you run Claude Code or Codex in Moonwalk, you sign in with your own Anthropic or OpenAI account. Its use counts against your own subscription, under your agreement with that provider, and we don't charge for it. You're responsible for following that provider's terms.

8. Acceptable use

Don't use the Services to break the law, infringe others' rights, distribute malware, harass anyone, or generate harmful or illegal content. Don't try to disrupt, reverse engineer, or gain unauthorized access to the Services, and don't use them to build a competing product. We may suspend or terminate accounts that do.

9. Plans and payment

Plans are per base. Each base is on its own plan — Free, Lite, Standard, or Pro — and the plan sets the base's limits, such as its boards, table rows, file storage, and AI credit. A plan covers the whole base, with no charge per member. Current prices and limits are on our pricing page.

Your first base is free. The base made when you first sign in is on the Free plan. Any other base you create needs a paid plan from the start, and is created once that plan is paid for.

Paid plans are monthly subscriptions, paid in advance. Only a base's owners can buy, change, or cancel its plan. A subscription renews automatically each month on the day it started until it is cancelled. It keeps the price it started on; if we change a price, the new price applies to an existing subscription only from a later renewal, never to a period already paid for. To avoid being charged for the next month, cancel at least 24 hours before your renewal date.

Changes mid-cycle. An upgrade takes effect immediately, refills the base's AI credit, and is charged at once for the rest of the current month; the renewal date stays the same. A downgrade or a cancellation takes effect at the next renewal, and the base keeps its current plan until then. Nothing is refunded or credited for the rest of a month already paid for. See our Refund Policy, which forms part of these Terms.

AI credit. Each plan includes AI credit for the built-in agent and for AI calls your automations make. It refills continuously; while it is empty, new requests wait until it refills. Credit can't be bought separately and has no cash value. Claude Code, Codex, and outside AI clients run on your own subscription and don't use it.

Going over a limit. A base that is over one of its plan's limits keeps everything it holds and you can still edit and delete it; only new boards, rows, files, or invites beyond the limit are refused.

How you pay. Payments are processed by Paddle, which acts as the merchant of record and is responsible for collecting and remitting sales tax or VAT in your jurisdiction. In the Republic of Korea, prices are in won and include VAT; elsewhere, prices are in US dollars and tax is added at checkout. Your currency is chosen from the country Paddle identifies for you, and a subscription bills in the currency it started in for as long as it lasts.

If a payment fails. Paddle retries the payment for up to 14 days, and the base keeps its plan in the meantime. If the payment isn't recovered, the subscription ends.

When a plan ends. When a subscription ends — because it was cancelled or because a payment failed — your first base returns to the Free plan. Any other base becomes Stopped: its limits drop to zero, its automations don't run, and its AI agent takes no new requests. A Stopped base is never deleted for this reason; you can still open, edit, and delete what it holds, and choosing a plan brings it back.

Promotions. We may give a base a paid plan at no charge, for example through a promo code. A promo code applies to a base on the Free plan, can be used once per person, and gives its plan for the period it states, after which the base returns to the Free plan.

10. Our rights

The Services — including their software, design, and brand — belong to Monorail Inc. and its licensors. We grant you a limited, personal, non-transferable right to use them under these Terms. If you send us feedback, we may use it freely and without owing you anything.

11. Services provided "as is"

The Services are provided "as is" and "as available," and parts of them may be in beta. We don't promise that they will always be available, secure, or error-free, and we may change or discontinue any part of them at any time.

12. Limitation of liability

To the fullest extent allowed by law, Monorail Inc. is not liable for any indirect, incidental, or consequential damages, or for lost data, profits, or business. Our total liability for any claim relating to the Services is limited to USD 100.

13. Indemnity

You agree to cover Monorail Inc. for claims, losses, and costs arising from your use of the Services, Your Content, or your breach of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll post the updated version with a new date here, and your continued use of the Services means you accept them.

15. Termination

You can stop using the Services at any time. We may suspend or end your access if you break these Terms or if we stop offering the Services. Provisions that should reasonably survive — such as ownership, disclaimers, liability limits, and governing law — continue after termination.

16. Governing law

These Terms are governed by the laws of the Republic of Korea, and any dispute will be handled by the courts located in Seoul.
